These terms and conditions (these “Terms and Conditions”) govern the Promotion (as defined below). By participating in the Promotion, each Participant (as defined below) accepts these Terms and Conditions and agrees to comply with them.

 

1. Definitions and Interpretation

In these Terms and Conditions, the following words and expressions shall have the following meanings:

1.1 “Eligible Country” means Singapore;

1.2 “Comment” means the comment made by the relevant Participant at the Post;

1.3 “Follow” means the following of the WorldFirst LinkedIn page to access and receive contents published by WorldFirst on LinkedIn by virtue of the Participant clicking the “Follow” button;

1.4 “Like” means any reaction that WorldFirst receives to its Post by virtue of the Participant clicking the “Like” button;

1.5 “Post” means the post published by WorldFirst in relation to this Promotion on LinkedIn;

1.6 “Promotion” shall have the meaning given to such term in clause 2;

1.7 “Promotion Period” shall have the meaning given to such term in clause 3;

1.8 “Reward” shall have the meaning given to such term in clause 5.1;

1.9 “Reward Criteria” shall have the meaning given to such term in clause 4.1;

1.10 “UEFA” means Union des Associations Européennes de Football, the official body for European football and organiser of UEFA EURO 2024™;

1.11 “WorldFirst” means Alipay Merchant Services Pte. Ltd.;

1.12 “World Account” means the WorldFirst World Account, as provided by WorldFirst; and

1.13 “World Account Terms” means the prevailing terms and conditions, including the relevant privacy policy, governing the World Account service provided by WorldFirst.

 

2. Description of the Promotion

During the Promotion Period, an existing WorldFirst customer (a “Participant”) that satisfies the Reward Criteria set out in clause 4.1 may be eligible to win a Reward (the “Promotion”).

 

3. Promotion Period

The Promotion period begins at 00:00:01 (Singapore time) on 5 July 2024 and ends at 23:59:59 (Singapore time) on 31 July 2024 (the “Promotion Period”).

 

4. Reward Criteria

4.1 A Participant may be eligible to win a Reward provided that such Participant:

4.1.1 is registered in an Eligible Country;

4.1.2 during the Promotion Period, Follows the WorldFirst LinkedIn page and WorldFirst receives Like on the Post from the Participant; and

4.1.3 during the Promotion Period, the Participant publishes a Comment on the Post. Such Comment should describe what the Participant like about WorldFirst,

(such requirements together, the “Reward Criteria”).

4.2 No Participant may enter into the Promotion more than once. In the event that more than one Comment is published by the Participant, the Comment(s) subsequent to the first Comment shall be disregarded.

4.3 A Comment may not be edited after its publication.

4.4 Any comments made in connection with the Comment under Clause 4.1.3 shall comply with the applicable laws and policies and shall be genuine and not include any content which may be unlawful, defamatory, racist, libelous, religious, or incite hatred.

 

5. Reward

5.1 Top hundred (100) eligible Participants that enter into the Promotion can win the following rewards (“Reward”), subject to the terms set out herein:

(a) top (5) Participants: UEFA earbuds, UEFA official T-shirt, WorldFirst Football, SGD$100 NTUC Fairprice voucher and UEFA pin;

(b) top fifteen (15) Participants: UEFA earbuds, UEFA official T-shirt, WorldFirst Football and UEFA pin;

(c) next thirty (30) Participants: UEFA earbuds and WorldFirst Football and UEFA pin; and

(d) last fifty (50) Participant: UEFA earbuds and UEFA pin.

5.2 If a Participant wins a Reward in the Promotion, such Participant will need to take further steps to claim the Reward, as described in clause 6.

5.3 For the Promotion, there are a total of (a) five (5) NTUC Fairprice vouchers (b) twenty (20) UEFA official T-shirts; (c) fifty-five (55) WorldFirst Football; (d) one hundred (100) UEFA earbuds; (e) one hundred (100) UEFA pin, to be won by eligible Participants. Rewards are subject to availability.

5.4 The Rewards are not transferable or exchangeable and cannot be sold or redeemed for cash, monetary value or for any other form of compensation.

5.5 If for any reason a Reward is not available, WorldFirst reserves the right, at its sole discretion, to substitute that Reward for another of equal or greater value.

5.6 WorldFirst shall not be liable for any mishaps, injuries or accidents that occur in the course of the delivery or usage of a Reward by a Participant.

5.7 Rewards are for personal use of the relevant Participant. Each Participant agrees not to:

5.7.1 resell, transfer, or offer to resell or transfer any Reward, whether for free or for any other consideration;

5.7.2 use a Reward for any promotional, advertising, fundraising or any other similar commercial or non-commercial purpose;

5.7.3 use a Reward as a prize (or part of a prize) in any contest, competition, (promotional) game of chance, lottery or sweepstake; and/or

5.7.4 combine and sell a Reward as part of any package of goods or services.

 

6. How Winners are Chosen and How to Claim a Reward

6.1 WorldFirst will monitor the Comment made by the eligible Participants and the winner will be selected based on the quality and creativity of the Comment. The factors considered in the determination of the comment quality and creativity, include but not limited to:

(a) the number of upvotes or likes received by the Comment from other users; and

(b) the thoroughness, depth and uniqueness of the Comment, detailing their WorldFirst experience on the registration process, overall experience, customer service, and product capabilities.

Any such determination shall be made on WorldFirst’s sole discretion and shall be final and binding.

6.2 Participants will be notified if they have won the Reward via direct message on LinkedIn within one (1) week following the end of the Promotion Period. After such notification, WorldFirst will provide reasonable assistance in connection with the collection of Reward. If a Participant does not respond to WorldFirst within two (2) working days from such notification or does not fulfil the Reward Criteria, WorldFirst may disqualify such Participant from the Promotion and the relevant Reward may be won by another eligible Participant.

6.3 It is the responsibility of each Participant to arrange for collection of the Reward from 128 Beach Road, #20-01, Guoco Midtown Office, Singapore 189773. WorldFirst will not be liable for any Participant failing to collect the Reward.

 

7. Liability

7.1 None of WorldFirst or any of their respective parent companies, subsidiaries, affiliates, officers, directors, employees, governors, owners, distributors, retailers, agents, assignees, advertising or promotion agencies, representatives and/or agents will be liable (to the extent permitted by applicable law) for any loss or damage arising, directly or indirectly, from (i) organising or holding the Promotion, (ii) a Participant’s participation in the Promotion and/or (iii) any actions or omissions of a Participant in connection with the Promotion, including as a result of their winning, collecting, use or enjoyment of a reward. Notwithstanding anything in these Terms and Conditions to the contrary, WorldFirst’s cumulative liability, including for claims, expenses, damages or indemnity obligations under or in connection with its obligations under these Terms and Conditions, will not exceed USD$500,000.

7.2 It is the responsibility of each WorldFirst customer to ensure that only authorised individuals are able to participate in the Promotion on its behalf. WorldFirst shall have no liability in connection with participation in the Promotion by anyone that is not authorised by the relevant WorldFirst customer.

 

8. Further Terms

8.1 WorldFirst reserves the right to, in its sole discretion, determine and/or decide all matters relating to or arising in connection with the Promotion and/or these Terms and Conditions without prior notice. Any such determination and/or decision will be final and

8.2 To the extent permitted by applicable law, WorldFirst reserves the right to amend the terms of the Promotion and these Terms and Conditions, and/or to suspend or cancel the Promotion at any time, without liability. WorldFirst reserves the right to change or withdraw any reward for any reason in its sole discretion. WorldFirst also reserves the right to extend the Promotion Period and these Terms and Conditions shall apply to any such extended Promotion Period. Any amendments to the Promotion will be published on the Promotion webpage and/or notified to WordFirst customers in an appropriate manner. Following any change or amendment to these Terms and Conditions, a Participant’s continued participation in the Promotion constitutes its acceptance of the amended Terms and Conditions and the Promotion, as amended.

8.3 Each Participant warrants that:

8.3.1 it is legally able to participate in the Promotion according to applicable laws and regulations;

8.3.2 to the best of its knowledge, all information disclosed by it to WorldFirst is complete, true and accurate;

8.3.3 it consents to participate in the Promotion in the capacity of participant and consents to the use and sharing of its personal data by WorldFirst in accordance with WorldFirst’s privacy policy and applicable laws for the purpose of this Promotion, where applicable; and

8.3.4 it will not use the Promotion in any way that WorldFirst (in its sole and absolute discretion) considers to be unreasonable, unethical, excessive, or in bad faith, or in any way that breaches any applicable law or regulation, or is unlawful, fraudulent, or wrongful, or has any unlawful, fraudulent or wrongful purpose or effect.

8.4 Participants shall bear all expenses arising from and/or in connection with participating in the Promotion.

8.5 Employees (including part-time employees and contractors) of WorldFirst, including affiliates, agents and immediate family members and/or those living in the same household of such employees, are not eligible to enter the Promotion.

8.6 If there is a discrepancy between these Terms and Conditions and any promotional material published in connection with the Promotion, these Terms and Conditions will prevail.

8.7 Should WorldFirst determine that, during the Promotion Period, a Participant is not eligible to participate in the Promotion for any reason (including but not limited to such Participant breaching these Terms and Conditions or any applicable laws or regulations, improperly using information relating to the Promotion, or engaging in (or being involved in) fraud, attempted fraud or any other illegal or illegitimate activity), or where WorldFirst has knowledge of subsequent events which would mean that the Participant would not have been entitled to participate in the Promotion, WorldFirst has the right to disqualify such Participant from the Promotion without liability. WorldFirst further reserves the right to claw back the value of a reward or to deduct the value of a reward from the balance of the relevant Participant’s World Account.

8.8 If a provision of these Terms and Conditions is held to be illegal, unenforceable or invalid, then it shall be modified to the minimum extent necessary to make it enforceable, unless that modification is not permitted by law, in which case that provision will be disregarded. The rest of these Terms and Conditions will continue in full effect.

8.9 These Terms and Conditions are made for the benefit of Participants and WorldFirst and are not intended to benefit any third party or be enforceable by any third party.

8.10 The World Account Terms shall apply to each Participant’s use of the World Account and are to be read together with these Terms and Conditions. In the event of any conflict or inconsistency between these Terms and Conditions and the World Account Terms, these Terms and Conditions shall prevail only to the extent of matters relating to the Promotion.

8.11 While all information herein is believed to be correct and reliable at the time of publishing, WorldFirst makes no representation or warranty, whether expressed or implied, and accepts no responsibility or reliability, as to its completeness or accuracy.

8.12 All tradenames, trademarks, logos and brand names are the property of their respective owners.

8.13 The vouchers being rewarded as part of this Promotion are subject to the issuer’s terms and conditions for their use.

8.14 In the event that the Promotion (i) is stopped by order of an applicable government agency, (ii) must be suspended due to server or network attack or system failure or (iii) is stopped by any circumstances beyond WorldFirst’s control, such event shall be regarded as a force majeure event and WorldFirst shall not be held liable for any consequential damage, loss or claim.

 

9. Governing Law and Arbitration

9.1 These Terms and Conditions shall be governed by and construed in accordance with the laws of Singapore.

9.2 Any dispute arising out of or in connection with these Terms and Conditions and/or the Promotion, including any question regarding its existence, validity or termination, shall be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre (“SIAC”) in accordance with the Arbitration Rules of the SIAC (SIAC Rules) for the time being in force, which rules are deemed to be incorporated by reference in this clause. The seat of the arbitration shall be Singapore. The language to be used in the arbitral proceedings shall be English.
